Preheat oven to 350°F

In a double boiler, combine carmels and 1/3 cup evaporated milk. Stirring constantly, until carmels are completely melted. Set aside.

Grease 9x13" baking pan

In a large bowl combine cake mix, butter, milk and nuts. Stir until batter holds together.

Press 1/2 batter mixture into pan. Put in oven and bake for 6 minutes. Remove from oven and sprinkle chocolate chips on top, until melted, then spread carmel on top and pack down. Put rest of batter on top of carmel mixture and bake at 350°F for 15-18 minutes.

Cool overnite or for 30 minutes, then put into refrigerator to allow carmel to set.

Cut into squares.
